Zaruma Resources Announces Revocation of Cease Trade Orders

Zaruma Resources today announced that effective August 10 the Ontario Securities Commission and the British Columbia Securities Commission issued full revocations of the Cease Trade Orders issued on May 13 and May 18, 2010 respectively. The Cease Trade Orders had been issued as the Company failed to file its audited consolidated financial statements for the fiscal year ended December 31, 2009 (the “Annual Statements”), by April 30, 2010 as required by National Instrument 51-102 – Continuous Disclosure Obligations.

Zaruma Reports Receipt of Term Sheet for a US$30 million Copper Offtake Facility

Zaruma Resources announced today that the Company has received an indicative financing term sheet for a US$30 million copper offtake facility from a major international bank, for the completion of the Luz del Cobre copper project in Sonora, Mexico. The copper offtake facility is a forward contract to deliver 9,984 tonnes of cathode copper over 48 months from the start of commercial production, in exchange for the Bank making a partial pre-payment of US$30m.

Zaruma Resources Reports on Shareholder Meeting

Zaruma Resources reported that at today’s Annual and Special Meeting of Shareholders Messrs. Daniel Major, Peter Lorange, Michael Power, Thomas Utter and Frank van de Water were elected as directors of the Company. Over 20% of the outstanding shares were represented at the meeting, in person or by proxy.

Zaruma Resources Reports on First Quarter 2010

Zaruma Resources today reported that the quarterly Consolidated Financial Statements and Management’s Discussion and Analysis report for the three months ended March 31, 2010 have been filed on SEDAR, www.sedar.com and will be posted on the Company’s website, www.zaruma.com. The filing of the quarterly report was delayed as a result of the late completion of the report for the year ended December 31, 2009, which was filed on SEDAR on June 30, 2010.

Zaruma Resources Appoints New Director

Zaruma Resources is pleased to announce the appointment of Daniel Major as a new member to the Board of Directors of the Company. The appointment is subject to the approval of the TSXV-NEX Board.

Zaruma Resources Cease Trade Order

Zaruma Resources reported that as projected in its news release on April 30, a general Cease Trade Order was issued on May 13, 2010 because it was unable to file its audited consolidated financial statements and other reports (”Annual Filings”) for the fiscal year ended December 31, 2009 by April 30, 2010, the filing deadline provided in National Instrument 51-102 - Continuous Disclosure Obligations. The Company had insufficient funds available to complete the audit of the consolidated financial statements.

Zaruma Resources is pleased to report that it has entered into a non-binding Memorandum of Understanding (”MOU”) with Gravity Ltd. (”Gravity”) regarding the financing of the Luz del Cobre copper project located on Zaruma’s wholly-owned San Antonio property in Sonora, Mexico.
